Welcome to Me’kaaz. These Terms and Conditions (“Terms”) govern your use of the Me’kaaz website, applications, devices, and other services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms and affirm that you are over the age of 18 and are able to form legally binding contracts.

By continuing to access or use our platform after those revisions become effective, you agree to be bound by the revised Terms. These Terms constitute the entire agreement between you and Me’kaaz regarding the use of the Me’kaaz platform, superseding any prior agreements between you and Me’kaaz regarding your use of the platform. If any provision of these Terms is held to be invalid or unenforceable, that provision will be eliminated or limited to the minimum extent necessary such that the remaining provisions of the Terms will continue in full force and effect.

  2. Smart Bands: Multi-functional devices that monitor vital health metrics such as blood pressure, heart rate, glucose levels, and oxygen saturation.

  3. Dedicated Health Monitors: Includes blood pressure monitors, glucose monitors, oximeters, and weight scales that sync data to the Me’kaaz cloud platform.

These devices are intended to support, not replace, the relationship that exists between a patient and their healthcare provider. The devices provide data that can be critical in managing health but are not intended to diagnose or treat conditions without professional oversight.

3.2 Software Solutions

  1. Patient and Caregiver Apps: Applications that allow for the management of device data, including viewing data history, setting reminders for medication, and scheduling doctor appointments.

  2. Data Integration: Our platform integrates data from various devices and presents it through the apps to provide users and authorized caregivers with a comprehensive overview of the user’s health status.

3.3 Virtual Consultation Services

Me’kaaz facilitates virtual consultations with healthcare providers through its platform. These services are intended to allow users to discuss their health data and concerns with certified professionals from the comfort of their home. It is important to note:

Me’kaaz reserves the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, fraudulent, or in violation of these Terms of Use:

  1. Suspension: Account suspension will restrict access to your account temporarily while issues are investigated and resolved.

  2. Termination: Account termination will result in the permanent deletion of your account and all associated data, subject to our data retention policies.

4.5 Re-Registration

If your account has been terminated by Me’kaaz, you may not re-register for the Me’kaaz Platform without our explicit permission. This prevents circumvention of account termination and maintains the integrity and security of our platform.

4.6 Rights Reserved

Me’kaaz reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.

5. User-Generated Content

5.1 Definition of User-Generated Content

“User-Generated Content” (UGC) includes all forms of content such as text, images, audio, and video that users may upload, publish, or otherwise make available to Me’kaaz. Specifically, this includes but is not limited to:

  1. Personal Health Data: Clinical and health-related data entered manually by users or captured automatically through Me’kaaz’s devices, including but not limited to measurements related to blood pressure, heart rate, glucose levels, and medication adherence.

  2. Posts and Comments: Any text or multimedia content that users submit to forums, blogs, comment sections, or other interactive areas of the platform.

  3. Feedback and Surveys: Responses and submissions to surveys or feedback mechanisms initiated by Me’kaaz.

5.2 User Rights and Responsibilities

  1. Ownership and Responsibility: You retain ownership of any intellectual property rights that you hold in the UGC you post on Me’kaaz. You are solely responsible for the UGC that you upload, publish, display, link to, or otherwise make available on the platform, and you agree that you are responsible for any repercussions or liabilities related to such UGC.

  2. Accuracy of Content: You affirm that all clinical and health-related data you provide is accurate, not misleading, and entered honestly to the best of your knowledge. Misrepresentation of any health data can lead to incorrect health advice and is strictly prohibited.

5.3 Consent to Use Clinical Data

  1. Purpose of Use: Clinical data provided by you is primarily used to enhance your experience on the platform by providing personalized health insights and improving health outcomes. It may also be used for research and development purposes to enhance Me’kaaz’s offerings, subject to applicable regulatory requirements.

  2. Sharing with Healthcare Providers: With your consent, such data may be shared with healthcare providers to facilitate better clinical support and healthcare outcomes.

5.4 License Grant to Me’kaaz

By posting any UGC on the Me’kaaz platform, you expressly grant, and you represent and warrant that you have all rights necessary to grant, to Me’kaaz a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, publicly perform, publicly display, and make derivative works of all such UGC and your name, voice, and/or likeness as contained in your UGC, in whole or in part, and in any form, media or technology, whether now known or hereafter developed, for use in connection with the Me’kaaz service and Me’kaaz’s (and its successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the Me’kaaz services (and derivative works thereof) in any media formats and through any media channels.

5.5 Monitoring and Enforcement

  1. Moderation: Me’kaaz reserves the right to review and, if necessary, remove any UGC that violates these Terms or that is deemed harmful to the community.

  2. Automated Processes: We may use automated systems that analyze your content to help detect infringement and other potential violations of these Terms and our policies.

5.5 Prohibited Content

Users are prohibited from posting UGC that:

  1. Is illegal, threatening, defamatory, abusive, harassing, degrading, intimidating, fraudulent, deceptive, invasive, racist, or contains any type of suggestive, inappropriate, or explicit language;

  2. Infringes on any trademark, patent, trade secret, copyright, or other proprietary rights of any party;

  3. Contains any type of unauthorized or unsolicited advertising;

  4. Imitates any person or entity, including any Me’kaaz employees or representatives.

5.6 No Obligation to Publish

Me’kaaz may decide, in its sole discretion, to refrain from publishing, and to remove, or to require you to remove, any UGC. Reasons for refusing to publish, removing, or requiring the removal of UGC include, but are not limited to, the potential violation of these Terms or the detriment of the user experience on the platform.

5.7 Indemnification

You agree to defend, indemnify, and hold harmless Me’kaaz and its licensee and licensors, and their employees, contractors, agents, officers, and directors from any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of:

  1. Your use and access of the Me’kaaz platform, by you or any person using your account

  2. A breach of these Terms, particularly as it relates to your UGC.

5.8 Changes to UGC Policy

Me’kaaz reserves the right to make changes to this UGC policy at any time. Changes will be communicated through the platform, and continued submission of UGC following such changes constitutes your agreement to those changes.

6. Platform Use Restrictions

The Me’kaaz platform is designed to provide users with trusted and safe digital health services and devices. To maintain the integrity and security of our services, all users must adhere to the following usage restrictions:

6.1 Prohibited Actions

Users of the Me’kaaz platform are strictly prohibited from:

  1. Illegal Activities: Engaging in any illegal activities, including but not limited to fraud, money laundering, illegal gambling, or terrorist activities.

  2. Infringement of Rights: Posting or transmitting content that infringes on any intellectual property or other proprietary rights of any party.

  3. Harmful or Malicious Activities: Introducing viruses, worms, harmful code, or any software intended to damage or alter a computer system or data.

  4. Unauthorized Access: Attempting to gain unauthorized access to the platform’s backend systems or any other user’s account, or providing assistance to others’ attempting to do so.

  5. Interference with Operations: Engaging in any activity that interferes with or disrupts the platform’s operations or the servers and networks connected to the platform.

  6. Data Mining: Unauthorized use and aggregation of data from the platform for data mining or any other commercial use not expressly permitted by Me’kaaz.

  7. Impersonation or Misrepresentation: Impersonating another person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

Users must not upload, post, or otherwise transmit any content that:

  1. Is Unlawful or Promotes Unlawfulness: Content that encourages conduct that would constitute a criminal offense or give rise to civil liability.

  2. Is Harmful or Offensive: Content that is harmful, abusive, racially or ethnically offensive, defamatory, harassing, humiliating to other people (publicly or otherwise), threatening, or otherwise objectionable.

  3. Involves Bullying and Abuse: Content that promotes bullying or harassment of another person.

  4. Sexually Explicit Material: Posting or distributing content that is pornographic or sexually explicit in nature.

  5. False Information and Misrepresentation: Content that contains false statements, misrepresents your identity, or manipulates identifiers to disguise the origin of any content transmitted through the platform.

  6. Advertising and Solicitation: Using the platform to send unsolicited advertisements or promotions, other forms of solicitation, or any form of lottery or gambling.

6.3 Compliance with Laws

We reserve the right to investigate and take appropriate legal action against anyone who, in Me’kaaz’s sole discretion, violates this provision, including without limitation, removing the offending content from the platform, suspending or terminating the account of such violators, and reporting them to law enforcement authorities.

6.5 Enforcement

Failure to comply with these Platform Use Restrictions may result in the immediate termination of your access to the Me’kaaz platform and its services, legal action, and/or notification to law enforcement authorities as deemed appropriate by Me’kaaz.

7. Intellectual Property Rights

The Platform and its original content, features, and functionality are and will remain the exclusive property of Me’kaaz and its licensors.

7.1 Ownership of Platform and Content

All content on the Me’kaaz platform, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of Me’kaaz or its content suppliers and protected by domestic and international intellectual property laws. The compilation of all content on the Me’kaaz platform is the exclusive property of Me’kaaz, with copyright protection extending to all content provided by Me’kaaz.

The Me’kaaz name and all related logos, product and service names, designs, and slogans are trademarks of Me’kaaz or its affiliates or licensors. You are not permitted to use these marks without the prior written consent of Me’kaaz. All other names, brands, and marks are used for identification purposes only and may be the trademarks of their respective owners.

7.3 Patent Rights

Me’kaaz products and processes are covered by one or more patents and are subject to other trade secret and proprietary rights. Me’kaaz reserves all such rights. You may not copy, modify, replicate, reverse engineer, or create derivative works from any technology or proprietary method used in the development and deployment of Me’kaaz services without the express written permission of Me’kaaz.

Me’kaaz respects the intellectual property of others and asks that users of our platform do the same. As detailed in Section 5, by posting content on the Me’kaaz platform, you grant Me’kaaz a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with the platform and Me’kaaz’s (and its successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the platform (and derivative works thereof) in any media formats and through any media channels.

7.6 Infringement Claims

If you believe that your intellectual property rights have been violated in any way that constitutes copyright infringement or infringement of your trademark, patent, or other intellectual property rights, please provide the following information to Me’kaaz:

A description of the copyrighted work or other intellectual property that you claim has been infringed;

  1. A description of where the material that you claim is infringing is located on the platform;

  2. Your address, telephone number, and email address;

  3. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright or intellectual property owner, its agent, or the law;

  4. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the owner’s behalf;

Me’kaaz shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this site, or between users and any third party, you understand and agree that Me’kaaz is under no obligation to become involved. 9.1 Termination by Me’kaaz

Me’kaaz reserves the right to terminate or suspend your account and access to the Me’kaaz platform and its services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Reasons for termination may include:

  1. Breach of Terms: Violation of any of the terms under these Terms and Conditions, including but not limited to violation of the rights of others, unauthorized use of the Me’kaaz platform, or actions that cause liability or harm to any user or third party associated with Me’kaaz.

  2. Legal Compliance: If termination is necessary to comply with legal requirements or law enforcement requests.

  3. Security and Technical Issues: If your actions cause security or technical issues or complications on the platform.

  4. Inactive Accounts: Me’kaaz reserves the right to terminate unused accounts that remain inactive for an extended period of time.

Upon termination, your right to use the platform will cease immediately. You should be aware that termination of your account may involve deletion of your account information from our live databases as well as any content that you uploaded to the Me’kaaz platform using such account.

9.2 Termination by User

You may terminate your account and discontinue your use of the Me’kaaz platform at any time by following the instructions on the Me’kaaz platform or by directly contacting customer support to deactivate your account. Upon voluntarily terminating your account:

Upon termination of your account, you lose all access to the platform and any data associated with your account. Me’kaaz reserves the right to keep, delete, or otherwise modify any content or information stored on its servers. The following provisions of these Terms survive any termination:

9.4 Post-Termination

After termination, you are not permitted to attempt to register a new account or access the Me’kaaz platform through other accounts without Me’kaaz’s express permission.

9.5 Legal Actions

Me’kaaz reserves the right to take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Me’kaaz platform.

10. Indemnification

You agree to defend, indemnify, and hold harmless Me’kaaz and its licensee and licensors, and their employees, contractors, agents, officers, and directors from any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of and access to the Platform.

10.1 Scope of Indemnification

You agree to defend, indemnify, and hold harmless Me’kaaz, its parent, subsidiaries, affiliates, officers, directors, employees, agents, partners, suppliers, and licensors (each, an “Indemnified Party” and collectively, “Indemnified Parties”) from and against any and all claims, actions, proceedings, suits, liabilities, damages, settlements, penalties, fines, costs, or expenses (including reasonable attorneys’ fees and other litigation expenses) incurred by any Indemnified Party arising out of or relating to:

  1. Your use or misuse of, or access to, the Me’kaaz platform, services, content, or otherwise from your User-Generated Content;

  2. Your violation of these Terms and Conditions;

  3. Your violation of any rights of another party, including any users;

  4. Your violation of any applicable laws, rules, or regulations;

  5. Any misrepresentation made by you.

10.2 Cooperation and Assistance

As a condition of your use of the Me’kaaz platform, you agree to cooperate with any reasonable requests assisting our defense of such matters. Cooperation may include providing documents, giving testimony, and other similar activities. You further agree to assist us in the enforcement of any applicable agreements, policies, terms, and conditions as may be necessary or requested.

10.3 Notification

You agree to promptly notify Me’kaaz of any third-party claims, cooperation with any defense organized by Me’kaaz, and not to settle any claim without Me’kaaz’s prior written consent.

10.4 Defense and Control

Me’kaaz reserves the right to assume the exclusive defense and control of any matter for which you are required to indemnify Me’kaaz and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Me’kaaz. Me’kaaz will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

10.5 Limitation on Indemnification

Notwithstanding any provisions contained herein, the indemnification obligation according to this Section 10 shall not apply to incidents, claims, or charges arising as a result of Me’kaaz’s own negligence or willful misconduct.

10.6 Indemnification by Third Parties

You acknowledge that certain third-party providers providing certain services and/or content on the Me’kaaz platform may require you to agree to additional or different indemnity or liability terms as a condition of accessing such services or content.

11. Limitation of Liability

In no event shall Me’kaaz, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Platform.

11.1 General Limitation

In no event shall Me’kaaz, nor its directors, employees, agents, partners, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  1. Your access to or use of or inability to access or use the Me’kaaz platform;

  2. Any conduct or content of any third party on the Me’kaaz platform;

  3. Any content obtained from the Me’kaaz platform;

  4. Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.

11.2 Specific Limitations

  1. Caps on Liability: Me’kaaz’s total liability to you for all claims arising from or relating to the use of or any inability to use any portion of the Me’kaaz platform or otherwise under these terms, whether in contract, tort, or otherwise, is limited to the amount you paid to access the Me’kaaz platform or SAR 1000, whichever is greater.

  2. Exclusions: Liability does not cover any loss or damage which is not directly caused by Me’kaaz or which is caused by your failure to comply with these Terms and Conditions.

11.3 Disclaimer of Certain Damages

Me’kaaz and its service providers are not liable for any personal injury, including death, caused by your use or misuse of the platform, content, or public areas (as defined below).

11.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. In such jurisdictions, Me’kaaz’s liability will be limited to the greatest extent permitted by law.

11.5 Basis of the Bargain

You acknowledge and agree that Me’kaaz has offered its products and services, set its prices, and entered into these Terms in reliance upon the warranty disclaimers and the limitations of liability set forth herein, that the warranty disclaimers and the limitations of liability set forth herein reflect a reasonable and fair allocation of risk between you and Me’kaaz, and that the warranty disclaimers and the limitations of liability set forth herein form an essential basis of the bargain between you and Me’kaaz.

11.6 User Acknowledgement

You understand and agree that Me’kaaz would not be able to offer its services to you on an economically feasible basis without these limitations.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Kingdom of Saudi Arabia without regard to its conflict of law provisions.

12.1 Choice of Law

These Terms and Conditions, and any dispute arising out of or related to these Terms or the Me’kaaz platform, will be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law provisions.

12.2 Jurisdiction

You agree that any legal action or proceeding between you and Me’kaaz relating to these Terms or your use of the platform will be brought exclusively in the high courts located in Riyadh, Saudi Arabia. You hereby agree to submit to the exclusive jurisdiction and venue of these courts and waive any objections based on inconvenient forum or any other basis.

12.3 Compliance with Local Laws

Users are responsible for compliance with all local laws applicable to their access to and use of the Me’kaaz platform. Access to the Me’kaaz platform may not be legal by certain persons or in certain countries. If you access the Me’kaaz platform from outside Saudi Arabia, you do so on your own initiative and are responsible for compliance with local laws.

12.4 Legal Effect

This governing law provision applies to all users of the Me’kaaz platform, including but not limited to browsing the website, contributing content, participating in discussions, or initiating transactions on the platform.

12.5 Enforcement

If any part of these Terms is held to be unlawful, void, or unenforceable, that part will be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The failure of Me’kaaz to exercise or enforce any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver of any right or provision by Me’kaaz must be in writing and shall only apply to the specific instance identified in such writing.

12.6 Modifications to Governing Law

Me’kaaz reserves the right to make changes to this section at any time. Changes will be communicated through the Me’kaaz platform, and you are advised to check this section from time to time for any updates that may impact you.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 10 days’ notice prior to any new terms taking effect.

13.1 Right to Modify Terms

Me’kaaz reserves the right, at its sole discretion, to modify or replace these Terms at any time. Such modifications may be necessary due to changes in the law, new regulatory requirements, improvements or enhancements made to our services or devices, or other reasons deemed appropriate by Me’kaaz.
